Full official rules and requirements (“Rules”)

Organizer

The giveaway (the "Sweepstakes") is operated by Loop BV (“Loop”, “Us”, “Our” and “We”).

Rules

The following Rules apply to the Sweepstakes and are in addition to the terms and conditions contained by Our Privacy Policy and Terms of Service. Please read these Rules carefully. By participating in the Sweepstakes, You have affirmatively reviewed, accepted, and agreed to all of the Rules. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. By participating, you (the “Entrant" or “You”) agree to these Rules. You represent and warrant that You meet the eligibility requirements and accept Loop’s decisions as final and binding. Any questions, comments or issues related to the Sweepstakes should be directed to Loop.

Entry Period

The Sweepstakes begins and ends on the dates (the “Entry Period”) determined under the Sweepstakes post on Loop’s social media channels (the “Post”). Entries submitted before or after the Entry Period will not be eligible.

Prizes

The winner(s) of the Sweepstakes (the "Winner(s)") will receive the prize determined in the Post.

Eligibility

The Sweepstakes is only open to those who are at least 18 years of age on the entry date and are resident of a country in which Loop products are sold and shipped to. Employees, independent contractors, interns, officers, directors, and agents of Loop their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. Entries must meet all Sweepstakes Rules to be eligible to win a prize. Loop reserves the right to verify the eligibility of the Entrant.

How to Enter

Enter the Sweepstakes by following the instructions under the Post. Entries must meet all Rules to be eligible to win a prize. Incomplete entries or those that do not adhere to the Rules may be disqualified at the sole discretion of Loop. You must provide the information requested. Multiple entries or attempts to enter through multiple email addresses, identities, or devices are prohibited and may result in disqualification.

Odds of Winning

The odds of winning depend on the eligible entries received.

Jury

A jury of 2 people from Loop’s Social Media team (the “Jury”) will give each entry a score based on the originality of the answer (the “Score”) to Loop’s aforementioned question under the Post.

Winner Selection and Notification

Winners are selected based on the Score. Winners will be notified via direct message on social media within three (3) days after the Sweepstakes closes. If the Winner cannot be contacted or is ineligible, the prize may be forfeited and an alternate Winner selected. Loop shall have no liability for a Winner's failure to receive notices due to spam, junk e-mail, or other security settings, or for a Winner’s provision of incorrect or non-functioning contact information. Receipt of the prize offered in this Sweepstakes by the Winner is conditioned upon compliance with any and all applicable laws and regulations. Any violation of these Rules by the Winner, as determined in Loop’s sole discretion, will result in the Winner's disqualification, and all privileges as a winner will be immediately terminated.

Shipment Prize

The Winner will indicate the delivery address within three (3) days after the notification by Loop. The Prize will be shipped within five (5) days after the delivery address is known by Loop. Receipt of the Prize offered in the Sweepstakes by the Winner is conditioned upon compliance with any and all federal, state, and local laws and regulations.

Disqualification

Loop reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website, or violates these Rules. Loop has the right to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by the Sweepstakes rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website of Loop or undermine the legitimate operation of the Sweepstakes, may be a violation of criminal and civil laws. Should such an attempt be made, Loop reserves the right to seek damages to the fullest extent permitted by law.

Limitation of Liability

By entering the Sweepstakes, You agree to release and hold harmless Loop and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant’s participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) unauthorised human intervention in any part of the Sweepstakes; (iii) electronic or human error in the administration of the Sweepstakes or the processing of entries; (iv) technical errors of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (v) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (vi) printing errors; (vii) lost, late, postage due, misdirected, or undeliverable mail. Loop will not be liable for any damages or losses as a result of failure by Us to deliver the Prize as a result of any circumstances outside of Our direct and reasonable control including, but not limited to, as a result of a server failure (including but not limited to access delays or interruptions, data non-delivery or mis-delivery), any act(s) of God, war or terrorism, breaches of security or unauthorised use of personal data arising from hacking and/or failure or lack of reception of telephone or mobile telephone networks.

Modification of Rules

Loop reserves the right to cancel, terminate, modify or suspend the Sweepstakes should virus, bug, non-authorised human intervention, fraud, or other cause beyond the Loop’s control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such cases, Loop may select a winner from eligible entries received before and/or after the action taken by Loop.

Disputes

This Sweepstakes is governed by the laws of Belgium, without respect to conflict of law doctrines. Disputes shall be resolved individually, without resort to any form of class action, and exclusively by the courts of Belgium. Participants waive the right to claim any damages beyond out-of-pocket expenses.

Winner Announcement

To request a copy of the winners list please contact Loop. Requests must be sent within two (2) weeks of the end of the Entry Period.

Odds of Winning

The odds of winning depend on the eligible entries received.

The Sweepstakes is in no way sponsored, endorsed, administered by, or associated with any social media platforms where it may be shared. You understand that You are providing your information to Loop and not to social networks.

By submitting Your personal details, You agree to Loop processing those details for the purpose of the Sweepstakes (including announcement of the Winner) and in accordance with Loop’s privacy policy which can be viewed at https://www.loopearplugs.com/policies/privacy-policy. By entering this Sweepstakes, You will receive additional product announcements, promotions and updates regarding the products of Loop. You can unsubscribe at any time and free of charge.

Loop reserves the right to alter, suspend or cancel the Sweepstakes in any jurisdiction if it is forced to do so due to illegality or invalidity of the Sweepstakes or due to binding self-regulatory rules, without any right of compensation towards the contestants.

LOOP BV – USER GENERATED CONTENT TERMS AND CONDITIONS

Introduction

Loop BV, with registered office at Posthofbrug 6/8 Bus 5/148, 2600 Berchem, Belgium, registered with the commercial register under enterprise number 0665.977.551 (“Loop”) has contacted the content creator (the “Content Creator”) with the aim to make use of certain photographs and/or video’s generated by them in relation to Loop’s products and/or services, and as identified by Loop in writing (the “Content”), for the promotion of one or more of Loop's Products. The current terms and conditions (the “Terms and Conditions”) constitute the entire agreement between Loop and the Content Creator with respect to the use by Loop of the Content. These Terms and Conditions are deemed accepted by the Content Creator, even when they are conflicting with the Content Creator’s general or special terms and conditions.

Intellectual property and license

The Content Creator remains the sole owner of its own intellectual property rights in the Content. Subject to the permission of the Content Creator by responding to Loop’s written request in respect of the use of the Content with #YesLoop, the Content Creator hereby expressly grants to Loop and its affiliates the right to use the Content subject to these Terms and Conditions, and hereby expressly, irrevocably and unconditionally grants a worldwide, irrevocable, royalty-free, fully paid-up, transferable, sublicensable license to Loop (for the duration of the underlying intellectual property rights) to use all present and future intellectual property rights in the Content, in particular copyrights and image rights, absolutely and free from all encumbrances, including the proprietary rights relating to any of the foregoing, including without limitation the right of reproduction, translation, modification (such as modifications concerning the colour, lighting, reducing, enlarging, contrasts, isolating certain elements), use (notably for making content derived therefrom), distribution, display and communication to the public (by all forms and via our channels of media, organic and paid usage) and any other form of exploitation of the Content, in whole or part, in whatever manner, both in their original form and in a modified form, for all commercial or non-commercial purposes. The abovementioned license is, for every mode and form of exploitation or use, definitive, worldwide and understood in the broadest possible sense authorized by the applicable positive law, for the entire legal period of the respective rights;

The Content Creator acknowledges that it is responsible for its Content, and for any consequences of the use thereof, including the use of the Content by Loop and Loop’s third party partners, and that Loop will not be responsible or liable for any use of the Content by Loop or its partners in accordance with these Terms and Conditions. The Content Creator hereby represents and warrants that they are the sole legal and beneficial owner of all intellectual property rights and image rights in the Content and that they have, to the extent applicable, entered into a valid assignment agreement of all intellectual property rights with the photographer, and that they have all the rights, power and authority necessary to grant the rights granted herein to any Content. The Content Creator furthermore represents and warrants that its Content will not deceptive, defamatory, obscene, pornographic or unlawful.

Use of Content

Loop will mention the name of the Content Creator (by tagging the relevant account of the Content Creator or otherwise) on or in relation to the use of the (reposted) Content, unless the Content Creator explicitly objects in advance to the use of its name on or in relation to the use of the Content.

The Content creator acknowledges that permission for the use of Content as set forth above is deemed to be given by the reply “#YesLoop” to Loop’s request. In this request, Loop will provide the link to the most recent version of these Terms and Conditions. The Content Creator further acknowledges and agrees that the Content may be made available to a wider audience than originally intended;

Termination and changes

The Content Creator may terminate Loop’s right to use the Content in accordance with these Terms and Conditions, by contacting Loop via [email protected], requesting the revocation of the Content. Loop will use its best efforts to remove the Content from its medial channels as soon as reasonably possible following such request and cease all use of the Content. For the avoidance of doubt, it is specified that the Content will not be deemed as revoked in the following situations: (i) when the Content has been removed by the Content Creator from websites where the Content was hosted, (ii) when the Content Creator has changed its username or closed its account or (iii) when the Content Creator has changed the settings of the account regarding limiting the Content to a restricted audience. Once the Content has been removed by Loop from all its media channels, these Terms and Conditions will be automatically terminated with respect to such Content by operation of law.

Loop may, in its sole discretion, change, supplement or amend these Terms and Conditions from time to time (a “Modified Version”), for any reason, and without any prior notice to or liability towards the Content Creator. The Content Creator may not change, supplement, or amend these Terms Conditions in any manner. Any such Modified Version made will be effective immediately upon Loop making such changes available on the website ttps://www.loopearplugs.com/ or otherwise providing notice thereof. The Content Creator agrees that an absence of objection to those changes constitutes the Content Creator’s acceptance of such changes.

Privacy

All your personal data will be collected and processed by Loop in accordance with Loop’s privacy policy, accessible at https://www.loopearplugs.com/policies/privacy-policy.
